1. Acceptance of Terms

By accessing and using the Raonebytes platform and services, you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Raonebytes provides hardware prototyping services, including but not limited to PCB design, embedded systems development, firmware programming, component sourcing, assembly, testing, and delivery of working prototypes. Services are provided as described on our platform and in project agreements.

3. User Accounts

3.1 Account Creation

You must create an account to use certain features of our platform. You agree to provide accurate, current, and complete information and to update it as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent or illegal activities.

4. Project Requests and Pricing

4.1 Pricing

All pricing is provided in USD and is based on the specifications you provide. Prices are subject to change based on scope modifications during the kickoff meeting.

4.2 Scope Changes

Changes to project scope after the kickoff meeting may result in additional costs and timeline adjustments. All changes must be approved by both parties.

4.3 Estimates

Initial pricing estimates are based on the information provided. Final pricing is confirmed after the kickoff meeting and scope finalization.

5. Payment Terms

5.1 Payment Schedule

Projects require 50% advance payment to begin work and 50% final payment before delivery. All payments are non-refundable once work has commenced.

5.2 Payment Methods

We accept major credit cards, debit cards, and other payment methods as indicated on our platform. All payments are processed securely through our payment partners.

5.3 Late Payments

Failure to make timely payments may result in project delays or cancellation. We reserve the right to charge interest on overdue amounts.

5.4 Refunds

Refunds are only provided if we are unable to deliver the agreed-upon prototype. Refund requests must be submitted in writing and are subject to review.

6. Intellectual Property

6.1 Your IP

You retain all intellectual property rights to your original ideas, concepts, and specifications. We will not use your proprietary information for any purpose other than fulfilling your project.

6.2 Deliverables

Upon full payment, you receive ownership of the physical prototype and all associated design files, schematics, and documentation created specifically for your project.

6.3 Our IP

Raonebytes retains all rights to our platform, tools, methodologies, and general knowledge. You may not reverse engineer or copy our proprietary processes.

7. Confidentiality

We treat all project information as confidential and will not disclose it to third parties without your consent, except as required by law or to fulfill the project (e.g., component suppliers). We can provide a separate NDA upon request.

8. Warranties and Disclaimers

8.1 Prototype Warranty

We warrant that prototypes will be built according to agreed specifications and will function as designed. We will repair or replace defective prototypes within 30 days of delivery at no additional cost.

8.2 Disclaimer

EXCEPT AS EXPRESSLY PROVIDED, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT PROTOTYPES WILL MEET YOUR SPECIFIC BUSINESS OBJECTIVES OR SECURE FUNDING.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAONEBYTES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC PROJECT.

10. Delivery and Shipping

10.1 Delivery Timeline

We will make reasonable efforts to meet agreed-upon timelines. Delays due to component shortages, shipping issues, or force majeure events are beyond our control.

10.2 Shipping

Shipping costs are included in the project price. Risk of loss transfers to you upon delivery to the carrier. We are not responsible for shipping delays or damages caused by carriers.

11. Cancellation

You may cancel a project before work begins for a full refund. After work has commenced:

  • Cancellations during design phase: 50% refund of remaining balance
  • Cancellations during build phase: 25% refund of remaining balance
  • Cancellations during testing phase: No refund

12. Prohibited Uses

You agree not to use our services to:

  • Create illegal, harmful, or dangerous devices
  • Infringe on third-party intellectual property rights
  • Violate any applicable laws or regulations
  • Engage in fraudulent or deceptive practices

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in San Francisco, California, in accordance with the rules of the American Arbitration Association.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on our platform and updating the "Last updated" date. Your continued use of our services constitutes acceptance of the modified Terms.
